1. Agreement to These Terms

These Terms of Service (“Terms”) govern your access to and use of the ThreadLogic.ai website and any related services (collectively, the “Service”) operated by ThreadLogic.ai (Thread Logic LLC) (“we,” “us,” or “our”).

6. Fees, Payments, Refunds, and Cancellation

Unless otherwise stated in writing, all fees are non-refundable except where required by applicable law.

You may cancel future billing in accordance with the cancellation instructions provided at the time of signup. Cancellation stops future charges but does not retroactively refund prior payments.

7. Intellectual Property

The Service, including its content, design, features, and underlying technology, is owned by ThreadLogic.ai (Thread Logic LLC) or its licensors and is protected by intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written permission.

8. User Content (If/When Enabled)

If the Service allows you to submit content (“User Content”), you retain ownership of your User Content. You grant us a limited license to host, store, and display that content solely to operate and improve the Service.

You represent that you have the rights necessary to submit User Content and that it does not violate applicable law or third-party rights.

Our total liability for any claim will not exceed $100 USD or the amount you paid us in the twelve (12) months prior to the claim, whichever is greater.

You agree to indemnify and hold harmless ThreadLogic.ai (Thread Logic LLC) from any claims, damages, or expenses arising out of your use of the Service or violation of these Terms.

14. Termination

We may suspend or terminate access to the Service at any time if you violate these Terms or if continued operation would pose risk.

You may stop using the Service at any time.

We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

Any legal action arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Pennsylvania, and you consent to personal jurisdiction in those courts.
